These Terms of Service (“Terms”) constitute a legally binding agreement between you and Ascent Medical Prep LLC, doing business as Ascent Medical Prep, AMP, and AMP+ (“AMP,” “Company,” “we,” “us,” or “our”).
These Terms govern your access to and use of our website, educational consulting, tutoring, academic coaching, membership programs, courses, videos, study materials, digital downloads, communications, and related products and services (collectively, the “Services”).
By accessing the Services, creating an account, purchasing a product, booking a tutoring or consulting session, or subscribing to AMP+, you acknowledge that you have read, understood, and agreed to these Terms, our Privacy Policy, and our Cancellation and Refund Policy.
If you do not agree to these Terms, do not access or use the Services.
1. Eligibility and authority
You must be at least 18 years old and legally capable of entering into a binding contract to purchase or use the Services independently.
If a student is under 18, the student’s parent or legal guardian must purchase the Services, consent to the student’s participation, and accept these Terms on the student’s behalf. The parent or guardian is responsible for the minor’s conduct, payments, and compliance with these Terms.
The Services are not directed to children under 13. A child under 13 may not create an account, purchase Services, or submit personal information directly to AMP. Services involving a child under 13 must be arranged and managed exclusively by a parent or legal guardian and may be subject to additional consent and privacy requirements.
If you accept these Terms on behalf of another individual or organization, you represent that you have the legal authority to bind that person or organization.
2. Description of the Services
AMP provides educational services and resources that may include:
- Individual and group tutoring;
- Educational consulting;
- Academic planning and academic coaching;
- Pre-medical education consulting;
- Course-selection and prerequisite planning;
- Study-plan development;
- MCAT and standardized-examination preparation;
- Application and admissions strategy;
- Personal-statement, résumé, and application-material feedback;
- Interview preparation;
- Biology, biochemistry, general chemistry, organic chemistry, anatomy, physiology, and related instruction;
- AMP+ membership content;
- Recorded lessons, workshops, courses, practice questions, worksheets, study guides, flashcards, and digital downloads; and
- Other educational products or services identified on our website or at checkout.
The scope, duration, format, instructor or consultant, deliverables, and limitations of a particular Service may be described on the applicable sales page, booking page, invoice, proposal, or checkout page. Those purchase-specific terms are incorporated into these Terms.
AMP may update, replace, reorganize, or discontinue content when reasonably necessary. AMP will not materially deprive a customer of a fully purchased Service without providing an appropriate substitute, credit, or refund where required by law.
3. Educational consulting
Educational consulting may include general recommendations concerning academic planning, course selection, study methods, examination preparation, educational resources, pre-medical preparation, applications, interviews, and related educational decisions.
You acknowledge and agree that:
- Consulting recommendations are based on the information you provide and the circumstances reasonably known at the time;
- You are responsible for providing complete, accurate, and current information;
- Educational institutions, admissions offices, testing organizations, and licensing bodies independently control their requirements and decisions;
- Requirements, deadlines, prerequisites, policies, and admissions standards may change without notice;
- You are responsible for independently confirming official requirements and deadlines with the applicable institution or organization;
- AMP does not make decisions on behalf of schools, admissions committees, testing organizations, licensing bodies, employers, or scholarship providers;
- AMP cannot guarantee that any institution or organization will accept a recommendation, course, credential, application, or interpretation; and
- Final academic, application, financial, and career decisions remain your responsibility.
Unless expressly included in a written service description, consulting does not include unlimited revisions, unlimited communications, completion of applications on your behalf, representation before an institution, or continuing support after the purchased engagement ends.
Unused consulting time is not redeemable for cash and may not be transferred unless AMP agrees in writing or applicable law requires otherwise.
4. No guarantee of results
Academic, examination, admissions, and professional outcomes depend on factors outside AMP’s control, including effort, attendance, preparation, prior knowledge, health, test conditions, institutional policies, applicant qualifications, competition, and compliance with recommendations.
AMP does not promise or guarantee:
- Any particular grade, examination score, or score increase;
- Admission to a school, program, internship, residency, or professional opportunity;
- Acceptance of an application, personal statement, résumé, or other submission;
- Receipt of a scholarship, financial aid, certification, license, interview, or employment;
- Completion or mastery of a particular subject or program;
- That following a recommendation will produce a particular result; or
- That all educational content or institutional information will remain current after its publication or delivery date.
Testimonials, examples, score improvements, acceptances, and student outcomes describe individual experiences. They are not promises that another student will achieve the same or similar results.
5. No medical, legal, financial, or licensed professional advice
The Services are provided solely for educational and informational purposes.
Nothing provided by AMP constitutes:
- Medical advice, diagnosis, or treatment;
- Mental-health or psychological advice;
- Legal or financial advice;
- Licensed school-counseling services;
- An official academic evaluation;
- An admissions decision or representation;
- A guarantee of eligibility for a school, examination, license, or profession; or
- Another form of regulated professional advice.
Scientific, anatomical, physiological, biochemical, or health-related content must not be used as a substitute for advice from a qualified healthcare professional. Never disregard professional medical advice or delay seeking care because of information presented through the Services.
6. No affiliation with testing organizations or institutions
Unless expressly stated otherwise, AMP is an independent educational provider and is not sponsored, endorsed, approved by, or affiliated with the Association of American Medical Colleges, the MCAT program, any college, university, admissions office, examination board, licensing authority, or other third-party organization.
Third-party names, examinations, trademarks, and educational standards may be referenced solely for identification, commentary, instruction, or compatibility purposes. All third-party trademarks belong to their respective owners.
7. Accounts and account security
Certain Services require an account. You agree to provide accurate, complete, and current information and to update it when necessary.
You are responsible for:
- Protecting your password and account credentials;
- All activity conducted through your account;
- Maintaining a current email address and payment method;
- Preventing unauthorized access to membership content; and
- Promptly notifying AMP of suspected unauthorized use.
Accounts and subscriptions are personal. They may not be shared, transferred, resold, sublicensed, or made available to another person.
AMP may suspend or terminate an account when it reasonably believes that account sharing, fraud, unauthorized distribution, nonpayment, or a security violation has occurred.
8. Tutoring and consulting appointments
Appointments are subject to availability and confirmation. A booking is not final until payment and any required confirmation have been completed.
Participants agree to:
- Attend appointments on time and prepared to participate;
- Maintain a suitable internet connection and compatible device for remote sessions;
- Communicate respectfully and appropriately;
- Provide accurate information relevant to the requested Service;
- Complete assigned work independently unless assistance is expressly permitted; and
- Avoid recording a session without AMP’s prior written permission and the legally required consent of every participant.
A participant who arrives late is not automatically entitled to an extension. If an AMP instructor or consultant is late, AMP will extend the session when reasonably possible or provide an appropriate credit.
AMP may end a session without refund if a participant engages in harassment, threats, discrimination, sexual misconduct, deliberate disruption, academic dishonesty, unlawful conduct, or other unsafe or abusive behavior.
9. Cancellations, rescheduling, and no-shows
Unless different terms are displayed at purchase:
- An appointment may be canceled or rescheduled without penalty at least 24 hours before its scheduled start time.
- A cancellation made less than 24 hours before the scheduled start time may be nonrefundable and treated as a completed session.
- Failure to attend without notice may be treated as a completed, nonrefundable session.
- Repeated late cancellations or no-shows may result in restrictions on future bookings.
- If AMP cancels an appointment, the customer will be offered a rescheduled appointment, account credit, or refund for the affected session.
Emergencies may be considered individually, but AMP is not obligated to waive this policy except where required by law.
Tutoring and consulting packages expire according to the terms disclosed at purchase. Unused appointments are not redeemable for cash and may not be transferred unless AMP agrees in writing or applicable law requires otherwise.
Our separate Cancellation and Refund Policy is incorporated into these Terms. If a checkout page contains more specific terms for a particular Service, those purchase-specific terms control for that purchase.
10. AMP+ subscriptions and automatic renewal
AMP+ may be offered as a recurring monthly or annual subscription.
Before purchase, AMP will disclose the subscription price, billing frequency, automatic-renewal terms, material restrictions, and available cancellation method.
By purchasing a recurring subscription, you expressly authorize AMP and its payment processor to charge the payment method provided at each billing interval until the subscription is canceled.
Unless otherwise disclosed:
- Monthly subscriptions renew each month;
- Annual subscriptions renew each year;
- Cancellation stops future renewal charges but does not ordinarily produce a prorated refund for the current billing period;
- Access continues through the end of the paid billing period after cancellation; and
- Deleting an account or ceasing to use AMP+ does not, by itself, cancel a subscription.
You may cancel through the account-management features provided through our website or by contacting SUPPORT@ASCENTMEDICALPREP.COM. You must complete cancellation before the next renewal charge to prevent the next billing cycle.
AMP may change subscription prices prospectively by providing notice before the new price applies. Continued subscription after the effective date of a properly disclosed price change constitutes acceptance, subject to applicable law.
If a payment fails, AMP may retry the payment, suspend access, or cancel the subscription. You remain responsible for authorized charges incurred before cancellation.
11. Prices, payments, and taxes
Prices are stated in U.S. dollars unless indicated otherwise. You agree to pay all prices, processing charges, and applicable taxes disclosed before purchase.
Payments may be processed by third parties, including Squarespace Payments, Stripe, or another disclosed processor. AMP does not receive or store complete payment-card information when the payment processor handles that information directly.
You authorize AMP and its processors to charge the submitted payment method for purchases and recurring subscriptions. You represent that you are authorized to use that payment method.
Promotional offers, discounts, and coupon codes may be modified or withdrawn before purchase. They may not be combined unless expressly permitted and have no cash value.
12. Refunds and payment disputes
Refund eligibility is governed by our Cancellation and Refund Policy and any purchase-specific terms presented at checkout.
Before initiating a chargeback, you agree to contact AMP at SUPPORT@ASCENTMEDICALPREP.COM and provide a reasonable opportunity to investigate and resolve the issue. This provision does not waive any legal right to dispute an unauthorized or erroneous charge.
Knowingly initiating a false, fraudulent, or abusive chargeback may result in account suspension or termination. AMP may provide purchase records, acceptance records, access logs, attendance records, and relevant communications to the payment processor when responding to a dispute.
Nothing in these Terms limits a nonwaivable refund, cancellation, or consumer-protection right.
13. License to use AMP materials
Subject to payment and compliance with these Terms, AMP grants you a limited, personal, revocable, nonexclusive, nontransferable, and nonsublicensable license to access purchased materials solely for your own noncommercial educational use.
This license does not transfer ownership of any material.
Without AMP’s prior written permission, you may not:
- Copy, reproduce, publish, upload, distribute, sell, license, or commercially exploit AMP materials;
- Share account credentials or membership access;
- Record, download, or redistribute videos except through an expressly provided download feature;
- Post AMP questions, explanations, worksheets, flashcards, consulting documents, or course materials on public or private sharing platforms;
- Remove copyright, trademark, watermark, or ownership notices;
- Create derivative courses, tutoring services, consulting products, question banks, or competing materials from AMP content;
- Scrape, crawl, index, data-mine, or systematically extract content;
- Use AMP materials to train, evaluate, fine-tune, or supply datasets to an artificial-intelligence or machine-learning system;
- Circumvent access controls, download restrictions, or security features; or
- Allow another person to engage in prohibited conduct.
Unauthorized use may result in immediate termination without refund and may subject the responsible party to legal liability.
14. Intellectual-property ownership
The Services and their contents—including videos, curricula, lesson structures, written explanations, consulting frameworks, reports, recommendations, graphics, logos, trademarks, study guides, question banks, worksheets, software, designs, and branding—are owned by or licensed to AMP and are protected by copyright, trademark, and other intellectual-property laws.
“Ascent Medical Prep,” “AMP,” “AMP+,” associated logos, and related branding may not be used without prior written authorization.
Feedback or suggestions voluntarily provided to AMP may be used to improve the Services without compensation or attribution, provided that AMP will not publicly identify you without permission.
15. User submissions and application materials
If you submit questions, assignments, transcripts, résumés, personal statements, applications, documents, messages, reviews, testimonials, or other materials, you retain ownership of your original content.
You grant AMP a limited license to access, reproduce, annotate, revise, and use submitted content only as reasonably necessary to provide, administer, secure, and improve the Services or comply with law.
AMP will not publicly use a student’s name, image, testimonial, score, acceptance, or identifying academic information for marketing without appropriate permission. For a minor, authorization must come from a parent or legal guardian.
You represent that:
- You have the right to submit the material;
- The material is truthful to the best of your knowledge;
- Submission does not violate another person’s privacy, confidentiality, intellectual-property, or contractual rights; and
- You will personally review and approve any material before submitting it to an educational institution or third party.
AMP may provide editing, feedback, and strategic guidance, but you remain responsible for the accuracy, authenticity, originality, and final submission of all application materials.
Do not submit protected health information, Social Security numbers, complete financial-account information, confidential examination content, or other unnecessary sensitive information.
16. Academic integrity and application honesty
AMP supports legitimate learning and honest educational advancement. You may not use the Services to:
- Cheat on an examination, quiz, assignment, or assessment;
- Obtain unauthorized answers during an active assessment;
- Submit AMP’s or another person’s work as your own;
- Fabricate grades, experiences, credentials, publications, awards, or personal circumstances;
- Request stolen, confidential, recalled, or improperly obtained examination questions;
- Violate an institution’s academic-integrity or application rules;
- Have AMP impersonate you or submit an application in your name; or
- Facilitate fraud, misrepresentation, or plagiarism.
AMP may refuse or terminate assistance that appears intended to facilitate academic or admissions misconduct.
17. Communications and session recordings
By providing contact information, you consent to receive transactional communications concerning purchases, appointments, account security, membership access, deliverables, and policy updates.
Marketing emails will be sent only as permitted by law. You may unsubscribe using the link provided. Unsubscribing from marketing does not prevent essential transactional communications.
A session may not be recorded unless all participants receive advance notice and provide any consent required by law. If AMP records a session, the purpose, access conditions, and retention practices will be disclosed in advance.
18. Third-party services and links
The Services may rely on or link to third-party platforms such as Squarespace, Stripe, Google Calendar, Google Meet, YouTube, email providers, analytics services, educational institutions, application portals, or social-media platforms.
AMP does not control third-party services and is not responsible for their independent content, availability, security, requirements, policies, decisions, or conduct. Your use of a third-party service may be governed by separate terms and privacy policies.
A temporary failure of a third-party platform does not automatically entitle a customer to a refund, although AMP will make reasonable efforts to restore access or provide a suitable alternative.
19. Prohibited conduct
You may not:
- Use the Services unlawfully or fraudulently;
- Harass, threaten, exploit, or impersonate another person;
- Attempt to gain unauthorized access to an account or system;
- Introduce malware or interfere with the operation of the Services;
- Use bots or automated systems to access or extract content;
- Misrepresent your identity, qualifications, enrollment, accomplishments, or payment authority;
- Infringe intellectual-property, privacy, or contractual rights;
- Resell or commercially exploit the Services;
- Use the Services to develop a substantially similar competing product through systematic copying; or
- Encourage another person to violate these Terms.
20. Suspension and termination
AMP may suspend or terminate access when reasonably necessary to:
- Address nonpayment, fraud, or chargeback abuse;
- Protect account or system security;
- Prevent intellectual-property infringement;
- Address harassment, misconduct, or unlawful activity;
- Enforce these Terms; or
- Comply with legal obligations.
When reasonably practicable, AMP will provide notice and an opportunity to correct the issue. Immediate action may be taken for fraud, threats, security risks, unlawful conduct, content theft, or serious violations.
Sections that should survive termination—including payment obligations, intellectual-property provisions, disclaimers, liability limitations, indemnification, and dispute provisions—will survive.
21. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
AMP DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS.
AMP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, SUITABLE FOR EVERY STUDENT, OR ACCEPTED BY ANY SCHOOL, PROGRAM, ADMISSIONS OFFICE, TESTING ORGANIZATION, OR LICENSING AUTHORITY.
Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted by law.
22. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMP AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, INSTRUCTORS, CONSULTANTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, LOST ADMISSIONS, LOST SCHOLARSHIPS, OR INTERRUPTION OF STUDIES ARISING FROM OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMP’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO A CLAIM WILL NOT EXCEED THE GREATER OF:
1. The amount you paid AMP for the specific Service giving rise to the claim during the six months immediately preceding the event; or
2. One hundred U.S. dollars ($100).
These limitations do not apply to liability that cannot lawfully be excluded or limited.
23. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless AMP and its owners, officers, employees, contractors, instructors, consultants, and affiliates from third-party claims, losses, liabilities, damages, judgments, and reasonable legal expenses arising from:
- Your unlawful or unauthorized use of the Services;
- Your violation of these Terms;
- Your infringement of another person’s rights;
- Content or application materials you submit or distribute; or
- Fraud, intentional misconduct, or misuse of an account under your control.
This provision does not require you to indemnify AMP for AMP’s unlawful conduct, gross negligence, or willful misconduct where prohibited by law.
24. Governing law and venue
These Terms are governed by the laws of the State of NEVADA, without regard to conflict-of-law principles, except where federal law applies.
Before filing a legal action, the parties agree to make a good-faith effort to resolve the dispute informally. A written notice describing the dispute and requested resolution must be sent to SUPPORT@ASCENTMEDICALPREP.COM. The receiving party will have 30 days to respond.
Unless applicable law requires otherwise, a legal proceeding arising from these Terms or the Services must be brought in the state or federal courts located in CLARK COUNTY, NEVADA and each party consents to their jurisdiction and venue.
Nothing in this section prevents either party from pursuing an eligible claim in small-claims court or seeking immediate relief for intellectual-property infringement, fraud, account compromise, or security threats.
25. Changes to these Terms
AMP may revise these Terms to reflect changes in the Services, business practices, or law.
Material changes will apply prospectively. When required, AMP will provide notice by email, account notification, website notice, or another reasonable method before changes take effect.
Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law. Changes to recurring-subscription terms will be handled in accordance with applicable notice and consent requirements.
26. General provisions
These Terms, together with the Privacy Policy, Cancellation and Refund Policy, and purchase-specific terms, constitute the entire agreement concerning the Services.
If a provision is found invalid or unenforceable, it will be enforced to the maximum lawful extent, and the remaining provisions will remain effective.
AMP’s failure to enforce a provision is not a waiver.
You may not assign your rights or obligations without AMP’s written consent. AMP may assign these Terms as part of a merger, acquisition, reorganization, financing, or sale of assets.
AMP is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, utility or internet failures, platform outages, labor disruptions, governmental actions, epidemics, war, terrorism, or other force-majeure events.
Headings are provided for convenience and do not affect interpretation.
